Terms of Service

1. Agreement

These Terms of Service ("Terms") are an agreement between you and Algen AI Private Limited ("AlgenAI", "we", "us") for use of hosted Algen Agent Studio ("Studio"), including its sign-in pages, public documentation, and related services. By signing in or using Studio, you accept these Terms and our Privacy Policy. If you use Studio for an organization, you accept these Terms for that organization and confirm you have authority to do so; "you" then includes the organization.

If you do not agree, do not use Studio. A separate written agreement with AlgenAI takes precedence over these Terms where they conflict.

2. Accounts and eligibility

• You must be at least 18 and able to form a binding contract.
• You sign in with a Google or GitHub account. Keep that account secure; you are responsible for activity under your Studio account.
• Organization admins invite members, assign roles, and manage organization settings and integrations. Admins are responsible for who they give access to.
• Tell us promptly at info@algen.ai if you suspect unauthorized access.

3. The service

Studio lets you design, test, evaluate, build, publish, and deploy AI agents and workflows. Features, limits, and plans may change as we improve Studio. Some features depend on your plan, your role, or configuration by your organization. We may change or discontinue features, and will give reasonable notice before removing a feature you rely on where we can.

4. Acceptable use

You must not, and must not let your agents or members:

• break the law, infringe others' rights, or process data you have no right to process;
• build or run agents for fraud, spam, harassment, deception, surveillance without lawful basis, or other harm;
• upload or build malware, or attempt to escape sandboxes, reach other organizations' data, or bypass network, build, or security controls;
• circumvent metering, credit, rate, or concurrency limits, or create accounts to evade them;
• probe, scan, or load-test Studio without our written permission;
• violate the terms or usage policies of the model providers, tools, or repositories you connect; or
• resell or offer Studio to others as a service without our written agreement.

Please report suspected vulnerabilities to us rather than exploiting them.

5. Your content

"Your content" means everything you or your organization put into or produce with Studio: projects, configurations, instructions, workflows, source code, data, run inputs and outputs, and artifacts. As between you and AlgenAI, you keep all rights to it.

You grant AlgenAI a worldwide, non-exclusive, royalty-free licence to host, copy, process, transmit, and display your content only as needed to provide, secure, and support Studio for you. We do not use your content to train AI models.

You confirm that you have the rights and permissions needed for your content, including any personal data in it, and that our processing it as described in these Terms will not violate law or anyone's rights.

6. Credentials and integrations

Store API keys and secrets only in Studio's credential vault, never in project files or repository URLs. You are responsible for credentials you supply and for charges providers bill to them. When your organization connects GitHub, Studio reads only the repositories you grant, for as long as the connection remains.

7. Third-party services

Agents call the model providers, tools, data sources, and repositories you configure. Those services are provided by third parties under their own terms, and we are not responsible for them, their availability, or their charges to you.

8. AI output and agent actions

AI models can produce output that is inaccurate, incomplete, or inappropriate, and agents can take actions through the tools you give them. You are responsible for reviewing output before relying on it, for the tools and permissions you grant, for using approvals and evaluations appropriately, and for how you deploy agents and use their results. Do not use Studio as the sole basis for decisions with legal or similarly significant effects on people without appropriate human review.

9. Publishing to Algen Agent Hub

When you publish an agent, you grant AlgenAI the rights needed to review, store, list, and distribute it according to the listing you choose. Packages are reviewed before they become discoverable, and we may decline or remove any listing. Additional marketplace terms may apply.

10. Plans, credits, and payment

• Hosted Studio meters managed compute used by runs, builds, and deployments, and charges it against your organization's credit balance. Prices and metering rates are those shown in Studio or provided by your AlgenAI account team.
• Credits come from subscriptions and one-time credit packs. Payments are processed by Razorpay. Prices are exclusive of taxes unless stated otherwise, and you are responsible for applicable taxes.
• Subscriptions renew automatically until cancelled. To change or cancel a plan, contact your AlgenAI account team or info@algen.ai.
• Studio reserves credits when work starts and settles actual usage when it ends. If work fails because of a fault on our side, the reserved credits are returned.
• Credits have no cash value, cannot be transferred, and are not refundable, except where Studio says otherwise or the law requires.
• If payment fails or your balance runs out, new work may be refused until the account is in good standing.

11. Suspension and termination

You can stop using Studio at any time, and an organization admin can delete the organization's projects. We may suspend or end access, with notice where reasonable, if you breach these Terms, if your use creates a security or legal risk, or if payment is overdue. We may act immediately where needed to protect Studio or others.

After termination, we will give a reasonable opportunity to export your projects unless the law or a security risk prevents it, and will then delete your content as described in our Privacy Policy. Sections that by their nature should survive termination will survive.

12. Our rights

AlgenAI and its licensors own Studio, its software, documentation, and brand. These Terms give you a limited, non-exclusive, non-transferable right to use hosted Studio while they are in effect. You may not copy, modify, reverse engineer, or redistribute Studio except as the law permits. If you send us feedback, we may use it without obligation to you.

13. Disclaimers

Studio is provided "as is" and "as available". To the extent the law allows, AlgenAI disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, and does not warrant that Studio or AI output will be uninterrupted, error-free, or accurate.

14. Limitation of liability

To the extent the law allows, AlgenAI will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill. AlgenAI's total liability arising out of or relating to Studio or these Terms will not exceed the amount you paid AlgenAI for Studio in the 12 months before the event giving rise to the claim. These limits do not apply where the law does not allow them to.

15. Indemnity

You will defend and indemnify AlgenAI against third-party claims, and the resulting losses and costs, arising from your content, your agents and their actions, or your breach of these Terms or the law.

16. Governing law and disputes

These Terms are governed by the laws of India. Before starting formal proceedings, each party will try in good faith to resolve a dispute by written notice and discussion for 30 days. Subject to that, the courts of India have exclusive jurisdiction.

17. Changes to these Terms

We may update these Terms. We will post the new version here with a new effective date, and tell you in Studio or by email before material changes take effect. Continuing to use Studio after that date means you accept the updated Terms.

18. General

If any provision is unenforceable, the rest remain in effect. Not enforcing a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to a successor. Neither party is liable for delays caused by events beyond its reasonable control.
